These Terms of Use ("Terms") govern access to and use of the CoachAnything.com website and coach directory (the "Platform"), operated by HBG ("CoachAnything.com," "we," "us," or "our"). Please read these Terms carefully before using the Platform.

1. Acceptance of Terms & Eligibility

By accessing or using the Platform — including browsing the coach directory, creating or maintaining a coach listing, submitting an enquiry, or subscribing to our newsletter — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Platform.

You may use the Platform only if you are at least 18 years old and capable of forming a legally binding contract under the laws of Singapore. If you act on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" then refers to both you and that entity.

We may update these Terms from time to time in accordance with Section 15. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

2. Definitions

- "Platform" means the CoachAnything.com website, coach directory, and any related tools, integrations, or communications (including newsletters and any scheduling or video-conferencing features).

- "Coach" means an individual or organisation that creates a Listing to advertise coaching or related services, whether as a Listed Member (a free or basic Listing) or a Premium Member (a paid, subscription-tier Listing with expanded profile features).

- "Client" or "User" means any visitor who browses the Platform, searches the directory, or contacts a Coach through it.

- "Listing" means a Coach's profile page, including biography, credentials, specialities, photos, and contact details.

- "Content" means all text, images, ratings, testimonials, and other material submitted to or displayed on the Platform, whether by us, a Coach, or a User. "User Content" means Content submitted by a Client or visitor (such as an enquiry or testimonial); "Professional Content" means Content submitted by a Coach as part of a Listing (such as credentials, service descriptions, and pricing).

- "Services" means the coaching, training, facilitation, or related services that a Coach independently offers and delivers to a Client, and which are entirely separate from, and not provided by, CoachAnything.com.

3. Nature of the Platform - Directory Only

CoachAnything.com is a directory and discovery tool. We help Users find Coaches and help Coaches be found. We are not a party to, and do not supervise, control, or guarantee, any engagement, contract, session, or payment arrangement between a Coach and a Client.

Specifically, and without limitation:

No agency or employment relationship. Coaches are independent third parties. No Coach is our employee, agent, partner, franchisee, or joint venturer, and nothing on the Platform should be read as our endorsement of any Coach's competence, credentials, methods, or conduct.
No vetting guarantee. We may perform basic checks on Listings (for example, confirming an email address or reviewing submitted credentials for completeness); we do not independently verify, audit, or certify any Coach's qualifications, licences, insurance, background, or claims. Users are solely responsible for conducting their own due diligence before engaging a Coach.
No booking, custody, or payment role. The Platform does not process session bookings or payments between Coaches and Clients. Any fees for coaching Services are agreed and settled directly between the Coach and the Client, on terms they set, outside the Platform.
No guarantee of outcomes. We make no representation about the results any User may obtain from engaging a Coach. Coaching outcomes depend on factors outside our control, including the Coach's conduct and the Client's own effort and circumstances.

You engage with any Coach, and any Coach engages with any Client, entirely at your own risk and discretion.

3A. Platform Discretion; No Guarantee of Introduction or Match Quality

We retain sole discretion over how the directory is presented, including which Listings appear, in what order, and whether to facilitate, limit, or decline to facilitate any introduction, message, or enquiry between a Client and a Coach. We may, at our discretion, withhold, delay, or restrict contact details or communication features for any Listing or User, including where we suspect misuse, fraud, or breach of these Terms.

We do not guarantee that any Coach is suitable, available, or a good match for a particular Client's needs, and we assume no responsibility for the outcome of any introduction made through the Platform.

4. Coach Accounts, Listings, Subscription Fees & Billing

4.1 Registration. To create a Listing, a Coach must register an account and provide accurate, current, and complete information. Coaches are responsible for keeping login credentials confidential and for all activity under their account.

4.2 Subscription plans and fees. Listings are made available under paid subscription plans as published on the Platform from time to time. By subscribing, a Coach authorises us (or our payment processor) to charge the applicable fee to the payment method on file, in Singapore Dollars unless stated otherwise, plus any applicable taxes (including GST).

4.3 Billing cycle and auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate, unless cancelled before the renewal date through the Coach's account settings or by written notice to us. We may change subscription pricing on reasonable prior notice; continued use after a price change takes effect constitutes acceptance of the new price.

4.4 No refunds. Except as required by Singapore law, subscription fees are non-refundable, including where a Coach's Listing is suspended or removed for breach of these Terms, or where a Coach chooses to stop using the Platform before the end of a paid period.

4.5 Non-payment. If a payment fails or is charged back without a valid basis, we may suspend or remove the Listing without notice, and the Coach remains liable for all amounts due, including reasonable costs of collection.

4.6 No guarantee of leads or ranking. We do not guarantee any minimum number of enquiries, views, bookings, or search ranking position as a result of a paid Listing. Placement within the directory may be influenced by relevance, completeness of profile, subscription tier, and other factors we may change at our discretion.

4.7 Pricing display. Where a Coach's Listing displays a rate, package price, or estimated cost for their Services, that figure is provided by the Coach and is indicative only. We do not verify, guarantee, or take responsibility for the accuracy of any displayed price, and any final pricing, inclusions, and payment terms are to be confirmed directly between the Coach and the Client before Services begin.

4A. Video Conferencing & Communication Tools

We may make available, or a Coach may invite a Client to use, a video-conferencing, messaging, or scheduling tool integrated with or linked from the Platform, for the convenience of arranging or conducting a coaching session. Any such tool may be operated by a third-party provider under its own terms and privacy policy, and we are not responsible for its availability, security, recording features, or performance. Use of any such tool is at the User's own risk, and neither Coach nor Client should treat a session conducted through it as private or secure beyond what that third-party tool itself provides.

5. Acceptable Use & Prohibited Conduct

You agree not to, and not to attempt to:

Impersonate any person or entity, or misrepresent your affiliation, qualifications, credentials, or experience on a Listing or in any communication through the Platform.
Post false, misleading, defamatory, obscene, harassing, discriminatory, or unlawful Content, or Content that infringes another party's intellectual property, privacy, or other rights.
Use the Platform to solicit Users for any purpose unrelated to genuine coaching enquiries, including unsolicited marketing, phishing, or the sale of unrelated goods or services.
Scrape, crawl, harvest, or otherwise extract data from the Platform using automated means, or reproduce, resell, or republish directory data in bulk without our prior written consent.
Circumvent, disable, or interfere with security features, rate limits, or access controls, or attempt to gain unauthorised access to any account, system, or data.
Upload viruses, malware, or other code intended to damage or disrupt the Platform or its users.
Use the Platform for any fraudulent, illegal, or unethical purpose, including to threaten, defame, blackmail, or bring bad-faith claims against CoachAnything.com, its officers, or other users.
Submit a Listing for coaching or related services that are illegal in Singapore, or that involve activities prohibited under applicable professional or safety regulations.

We may investigate suspected violations and take any action we consider appropriate, including removing Content, suspending or terminating accounts, and reporting conduct to law enforcement or regulators, without prior notice and without liability to you.

6. User Content, Profile Accuracy & License Grant

6.1 Your responsibility for Content. You are solely responsible for the accuracy, legality, and completeness of Content you submit, including a Coach's Listing details, credentials, and any Client enquiry or testimonial. We do not pre-screen Content and are not responsible for it, but we may remove or edit any Content, at any time and without notice, that we reasonably believe breaches these Terms or exposes us or others to risk.

6.2 Licence to us. By submitting Content, you grant CoachAnything a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, reproduce, display, adapt (for formatting and technical purposes), and distribute that Content in connection with operating, promoting, and improving the Platform, including on third-party channels such as search engines and social media, for as long as the Content remains on the Platform and for a reasonable period after removal for backup, legal, or archival purposes.

6.3 Representations. By submitting a Listing, a Coach represents and warrants that: (a) all credentials, qualifications, and claims stated are true and can be substantiated on request; (b) the Coach holds any licence, registration, or insurance required by law to provide the stated Services; and (c) the Listing does not infringe any third party's rights.

6.4 No obligation to publish. We may decline to publish, or may remove, any Listing or Content at our sole discretion, including where we believe it is inaccurate, unlawful, or damaging to the Platform's reputation, without any obligation to provide a refund of fees already paid for the then-current period.

7. No Professional, Medical, Legal or Financial Advice

Content on the Platform, including Listings, articles, and directory information, is provided for general informational purposes only. It is not, and must not be relied on as, medical, psychological, psychiatric, legal, financial, or other professional advice.

Coaching is not a substitute for therapy, counselling, medical treatment, or diagnosis. If you are experiencing a medical or mental health emergency, or thoughts of harming yourself or others, contact emergency services or a qualified healthcare provider immediately - do not rely on the Platform or any Coach found through it for emergency support.

You should independently verify any claim made in a Listing and seek advice from an appropriately licensed professional before making decisions based on Content found on the Platform.

8. Third-Party Coaching Services - Disclaimer & Assumption of Risk

Any Services you obtain from a Coach are provided under a separate agreement directly between you and that Coach, on terms, pricing, and conditions the Coach sets. CoachAnything is not a party to that agreement and has no responsibility for its formation, performance, or breach.

To the fullest extent permitted by law, CoachAnything disclaims all liability for: (a) the quality, safety, legality, or outcome of any Services provided by a Coach; (b) any statement, representation, or credential claimed by a Coach, whether or not displayed on the Platform; (c) any dispute, injury, loss, or damage arising from or in connection with an engagement between a Coach and a Client; and (d) any act or omission of a Coach or Client, including cancellation, no-show, non-payment, or misconduct.

If a dispute arises between a Coach and a Client, you release CoachAnything (and our officers, employees, and agents) from any and all claims, demands, and damages arising out of or in any way connected with that dispute, to the fullest extent permitted under Singapore law.

8A. Third-Party Links & External Services

The Platform may contain links to external websites, social media pages, payment processors, or other resources operated by third parties, including individual Coaches' own websites. We do not control and are not responsible for the content, accuracy, availability, or privacy practices of any linked third-party resource. Inclusion of a link does not imply our endorsement, and you access any linked resource at your own risk.

9. Intellectual Property & Infringement Claims

9.1 Our IP. The Platform's design, layout, source code, logos, trade marks, and all Content we create (excluding Content submitted by Coaches and Users) are owned by or licensed to CoachAnything / HBG and protected under Singapore and international intellectual property law. You may not copy, modify, distribute, or create derivative works from the Platform without our prior written consent.

9.2 Reporting infringement. If you believe Content on the Platform infringes your intellectual property or other rights, notify us at the contact details in Section 16 with: (a) a description of the work claimed to be infringed; (b) the location of the allegedly infringing Content; (c) your contact details; and (d) a statement, made in good faith, that the use is unauthorised. We may remove or disable access to Content on receipt of a credible notice, and may terminate the accounts of repeat infringers.

9.3 Counter-notice and false claims. A person who knowingly submits a materially false claim of infringement, or who makes a claim in bad faith to harass a Coach or disrupt their Listing, may be liable for damages, and we reserve the right to disregard such claims and to pursue any remedy available to us or the affected Coach.

9A. Trademarks

The "CoachAnything" name and logo, and all related names, logos, product and service names, designs, and slogans, are trademarks of HBG / CoachAnything. You may not use these marks without our prior written permission. All other names, logos, and marks appearing on the Platform (including those of individual Coaches) are the property of their respective owners.

10. Privacy & Data Protection

We collect and process personal data (such as names, contact details, and Listing information) in accordance with our Privacy Policy and the Singapore Personal Data Protection Act 2012 (PDPA). By using the Platform, you consent to that collection, use, and disclosure of your personal data as described in the Privacy Policy.

Coaches who receive a Client's contact details through the Platform must handle that data lawfully and only for the purpose the Client contacted them, and are independently responsible for their own compliance with the PDPA and any other applicable data protection law in respect of data they collect or process outside the Platform.

11. Disclaimers of Warranties

The Platform and all Content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. Without limiting the foregoing, we disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

We do not warrant that the Platform will be secure, available at all times, or free of viruses or other harmful components, or that any defect will be corrected. You use the Platform at your own risk.

Nothing in these Terms excludes or limits a warranty, guarantee, or other right that cannot lawfully be excluded or limited, including any non-excludable rights under the Singapore Consumer Protection (Fair Trading) Act 2003.

12. Limitation of Liability & Indemnification

12.1 Exclusion of indirect loss. To the fullest extent permitted by law, CoachAnything, HBG, and our officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Platform or these Terms, even if we have been advised of the possibility of such damages.

12.2 Liability cap. To the fullest extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the Platform or these Terms, whether in contract, tort (including negligence), or otherwise, will not exceed the greater of (a) the total subscription fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) SGD 100.

12.3 Basis of the bargain. You acknowledge that the fees we charge (where any) reflect the allocation of risk in this Section 12, and that this limitation is a fundamental basis of our agreement to make the Platform available.

12.4 Indemnification. You agree to indemnify, defend, and hold harmless CoachAnything, HBG, and our officers, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Platform; (b) your Content, including any Listing; (c) your breach of these Terms or of any law; (d) your engagement with, or as, a Coach or Client, including any dispute, injury, or loss arising from Services; or (e) your infringement of any third party's rights.

12.5 Exceptions. Nothing in this Section 12 excludes or limits liability for fraud, wilful misconduct, or death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded or limited under Singapore law.

13. Termination & Suspension

We may suspend or terminate your access to the Platform, remove any Listing or Content, and refuse future registration, at our sole discretion and without notice or liability, if we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful conduct, misrepresented credentials, harmed or threatened to harm other users or CoachAnything, or brought a bad-faith or vexatious claim against us.

A Coach may cancel their subscription at any time through account settings or by written notice, effective at the end of the then-current billing period; Section 4.4 (no refunds) continues to apply.

Sections 6.2 (licence), 8 (third-party disclaimer), 9 (IP), 11 (warranty disclaimers), 12 (limitation of liability and indemnification), 14 (governing law), and 15 (general provisions) survive termination of your access to the Platform.

14. Governing Law & Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Platform (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict-of-law principles.

You irrevocably agree that the courts of Singapore have exclusive jurisdiction to settle any such dispute or claim, and you submit to that jurisdiction. Before commencing formal proceedings, both parties agree to first attempt in good faith to resolve the dispute through direct negotiation for at least fourteen (14) days after written notice of the dispute is given.

Nothing in this Section prevents either party from seeking urgent injunctive or equivalent interim relief from a court of competent jurisdiction at any time.

15. General Provisions & Changes to These Terms

15.1 Changes. We may amend these Terms at any time by posting the updated version on the Platform with a revised effective date. Material changes will be flagged on the Platform or notified by email to registered Coaches at least 14 days before taking effect. Continued use of the Platform after changes take effect is acceptance of the amended Terms.

15.2 Entire agreement. These Terms, together with our Privacy Policy and any subscription plan terms referenced on the Platform, constitute the entire agreement between you and CoachAnything regarding the Platform, and supersede all prior agreements or understandings on that subject.

15.3 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

15.4 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

15.5 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, or sale of assets, or by operation of law.

15.6 Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of government, labour disputes, internet or utility failures, or cyberattacks.

15.7 No third-party beneficiaries. Except as expressly stated, these Terms do not confer any rights on any person who is not a party to them.

15.8 Electronic communications. By using the Platform, you consent to receive communications from us electronically, including by email or through notices posted on the Platform, and you agree that such electronic communications satisfy any legal requirement that communications be in writing.

15.9 Headings. Section headings in these Terms are for convenience only and do not affect their interpretation.
